1. Where is the Ness Technologies headquarters located?
 

Ness has executive offices located in the United States and Israel. Ness’ principal executive office in the United States is located at 300 Frank W. Burr Boulevard, 7th Floor, Teaneck, NJ 07666. Ness’ principal executive office in Israel is located at Ness Tower, Atidim High-Tech Industrial Park, Building 4, Tel Aviv 61580.


2. When was Ness Technologies acquired?
 

On June 10, 2011, the company entered into a definitive merger agreement under which it was to be acquired by an affiliate of Citi Venture Capital International (“CVCI”), a global private equity investment fund, in an all-cash transaction valued at approximately $307 million. A special meeting of the company’s stockholders was held on August 30, 2011, at which the stockholders approved the merger. The transaction closed on October 11, 2011, following satisfaction of all closing conditions.

Under the terms of the merger agreement, the company’s stockholders received $7.75 per share in cash for each share of common stock they held.
