On June 10, 2011, the company entered into a definitive merger agreement under which it was to be acquired by an affiliate of Citi Venture Capital International (“CVCI”), a global private equity investment fund, in an all-cash transaction valued at approximately $307 million. A special meeting of the company’s stockholders was held on August 30, 2011, at which the stockholders approved the merger. The transaction closed on October 11, 2011, following satisfaction of all closing conditions.

Under the terms of the merger agreement, the company’s stockholders received $7.75 per share in cash for each share of common stock they held.
